Terms and Conditions

General terms for using the Dopstack website and for our software development and outsourcing services.

Draft. This text has not yet been reviewed by a legal advisor and placeholders marked [CONFIRM] still need to be filled in.

Last updated: 11 October 2026

These terms are from Dopstack Technologies, a sole proprietorship (eenmanszaak) owned by Aleeza Shahid, registered with the Chamber of Commerce under [CONFIRM KVK number] ("Dopstack", "we"). Part A covers use of this website. Part B covers the services we provide to business clients. Our products, such as MoveCubic, have their own terms.

A. Using this website

You may browse the site and contact us for lawful purposes. Do not interfere with the site or its security, attempt unauthorised access, submit malicious code or spam, or misrepresent who you are.

Sending an enquiry does not create an agreement or an obligation for either party. Website content is general information, not a binding offer; see our Disclaimer. The text, design and branding of the site belong to Dopstack or its licensors.

B1. Scope

Part B applies to every quote, agreement and service from Dopstack to a client acting in the course of a business, including software development, consultancy, design, cloud and AI work, and placing our engineers in a client's team. The client's own general terms do not apply unless we accept them in writing. Deviations are only valid if agreed in writing (email counts).

B2. Quotes and agreements

Our quotes are free of obligation and valid for 30 days unless stated otherwise. An agreement is made when the client accepts a quote in writing or when we start the work at the client's request. Prices are in euros and exclude VAT unless stated otherwise.

B3. How we work

We carry out the work with care and to the best of our ability, in line with good professional practice. Unless explicitly agreed otherwise, this is an obligation to use reasonable efforts, not a guarantee of a specific result. We may involve third parties where that is reasonable.

The client provides the information, access, decisions and cooperation we need, on time and complete. Delays caused by missing input may move deadlines and lead to extra costs.

Deadlines are targets, not strict deadlines, unless agreed otherwise in writing. If we expect to miss one, we tell the client as early as possible.

B4. Changes and extra work

Work outside the agreed scope is extra work. We tell the client in advance when a request counts as extra work and what it is expected to cost, and only do it after the client agrees.

B5. Acceptance

Where acceptance testing is agreed, the client tests a delivery within 14 days and reports any defects in writing in a clear and reproducible way. If the client does not report defects in time, or starts using the delivery in production, the delivery is accepted. Minor defects that do not prevent use do not block acceptance; we fix them within a reasonable time.

B6. Fees and payment

Unless agreed otherwise, we invoice monthly based on time spent, or according to the agreed payment schedule. Invoices are payable within 14 days. If payment is late, the client owes the statutory commercial interest (Article 6:119a of the Dutch Civil Code) and reasonable collection costs after a reminder. We may suspend work while invoices remain unpaid after a reminder.

B7. Intellectual property

Once all related invoices are paid, the intellectual property rights in software, designs and documents we create specifically for the client transfer to the client. Where Dutch law requires a deed for that transfer, we will sign one on request.

We keep the rights to our pre-existing know-how, tools, libraries and general building blocks, and the client receives a perpetual, non-exclusive licence to use them as part of the delivery. Open-source components stay under their own licences. We may use generic knowledge gained in a project for other work, without sharing the client's confidential information.

B8. Confidentiality and data protection

Both parties keep each other's confidential information secret and only use it for the agreement, also after it ends. When we process personal data on behalf of the client, we sign a data processing agreement as required by the GDPR.

B9. Liability

Our total liability for an attributable failure or any other cause is limited to direct damage and to the amount invoiced for the work concerned in the six months before the damage occurred, with a maximum of [CONFIRM amount, e.g. €25,000] per event, or, if lower, the amount our insurer pays out in that case [CONFIRM whether you have professional liability insurance].

We are not liable for indirect damage, such as lost profit, lost savings, damage from business interruption or loss of data. The client is responsible for backups of its own data unless we have agreed to manage them.

These limits do not apply in case of intent or deliberate recklessness. A claim lapses if it is not reported in writing within 12 months after the client discovered or should have discovered the damage.

B10. Force majeure

We are not liable for failures caused by circumstances beyond our reasonable control, including outages at hosting or cloud providers, network failures, illness and government measures. If force majeure lasts longer than 60 days, either party may terminate the affected part of the agreement in writing.

B11. Duration and termination

Ongoing engagements, such as engineers placed in the client's team or maintenance, can be terminated by either party with one month's written notice unless agreed otherwise. Work done up to the end date is invoiced. Either party may terminate immediately if the other is declared bankrupt or seriously and persistently fails to meet its obligations after a written notice with a reasonable period to remedy.

B12. Applicable law and disputes

Dutch law applies. Disputes go to the competent court in The Hague, unless mandatory law says otherwise. We first try to solve any disagreement together.
